Tracy Bolton



TRACY I. BOLTON, CPA, is the Founder and Principal of TBI Consulting. Ms. Bolton is a Certified Public Accountant with an extensive background in accounting, auditing, Sarbanes-Oxley compliance, litigation and forensic consulting. She has over 22 years experience, including nine years experience in public accounting, at both a "Big 4" and local firms serving in audit, litigation and accounting service capacities. In addition, Ms. Bolton's background includes eleven years of practical accounting experience, most recently in controllership capacities for both publicly and privately held companies.

Ms. Bolton specializes in providing Litigation and Forensic Consulting in the areas of fraud, family law, bankruptcy, business valuations, economic damages, and corporate SEC restatements. She has worked on complex matters with both attorneys and clients, including a $300 million Ponzi scheme and reconstructing accounting records. In addition, she was responsible for overseeing and analyzing over 2,000 domestic and international contracts for compliance with Statement of Position 97-2, Software Revenue Recognition in connection with an engagement related to San Diego's largest public company corporate SEC restatement in 2002. Ms. Bolton also has extensive experience in family law matters, including calculation of income available for support, martial standard of living, and performing asset and stock option tracings. She has performed extensive research in areas of internal controls, corporate governance and fraud prevention and co-authored Fraudsafe™ Fraud Prevention and Investigation Five Day Training Program for CPA's, K.J. Kaseno et al, Dapple & Bourdeaux, LLC through the National Association of Certified Valuation Analysts.

In her experience as a controller, Ms. Bolton was responsible for directing the finance, accounting and administrative operations of international high-technology organizations. She was responsible for developing and implementing a new finance department, as well as several accounting software system conversions. Her background includes extensive experience in developing and implementing internal controls, and related accounting and companywide policies and procedures. Ms. Bolton has developed business models and budgets, as well as performed due diligence responsibilities related to a pre-IPO start-up organization and potential acquisition transactions. Ms. Bolton has extensive experience in software revenue recognition and stock option compensation.

Drawing on her audit, accounting service, and private industry corporate background, Ms. Bolton is also instrumental in providing consulting services related to TBI Consulting's Emerging Business Services Practice area, which offers a myriad of support services from outsourced accounting in a virtual accounting office setting or CFO/Controller services, to small and medium sized businesses in various stages.

A graduate of Drury College in Springfield, Missouri, Ms. Bolton holds a BS degree in Accounting and is a licensed Certified Public Accountant in the State of California and Nevada. She is a member of the American Institute of Certified Public Accountants, the California Society of Certified Public Accountants, the Association of Certified Fraud Examiners, and is the past Chair of the Litigation Interest Group of the San Diego Chapter. She frequently volunteers her time to non profit organizations in accounting and tax matters, as well as public relations and business development.
